Corporate Development Manager (Charlotte, US)


About the Role

As Corporate Development Manager, you will play a leading role in prospecting, analyzing, diligencing, and executing on acquisitions, joint ventures, strategical partnerships, and other corporate development activities, including capital raising initiatives for the business.

The Corporate Development Manager will be involved in all phases of a transaction including researching target companies, deal origination, due diligence coordination, conducting financial valuation analysis, negotiating, deal structuring, and closing the transaction. As appropriate, the successful candidate will be involved in the details of post-deal integration as well, working alongside Passport's Integration Management Office (IMO) function. The successful candidate will need to develop financial analyses and present and make recommendations to corporate and executive leadership teams. This role will make an immediate and substantial impact to Passport Labs, Inc.

This role is a highly visible position that interacts with PAssport's senior-most leaders frequently.


  • Develop frameworks and drive the prioritization of corporate strategic initiatives
  • Support future capital raise activity including interfacing with potential investors, due diligence facilitation, and term sheet negotiation assistance
  • Assist with all Investor Relations activities as the business continues to scale
  • Owner of acquisition thesis formation, researching target companies, conducting financial analyses, and identifying and quantifying the synergistic value
  • Identify and research appropriate opportunities that support Passport's strategic priorities through interaction with senior business leaders, entrepreneurs, venture capitalists, and investment bankers
  • Partner with business leaders to drive internal thinking on expansion opportunities
  • Evaluate opportunities and risks in potential transactions and lead diligence efforts
  • Manage cross-functional team input and support from Product, Engineering, Operations, Legal, Finance, Tax, Accounting, and senior management to execute transactions across full lifecycle from IOI through deal close
  • Perform financial analysis to assess the costs, revenue, and other benefits for both near- and long-term roadmaps that leverage an acquired company’s solutions
  • Identify and educate other executives on new, innovative technology trends and markets, and recommend high-potential investments
  • Determine short- and long-term personnel needs for successful post-acquisition integration, partnering with the People Operations and IMO teams on cultural and technical integration components, respectively
  • Act as a subject matter expert on financial modeling, valuation, and deal structuring
  • Support negotiations of key transaction and legal documents in partnership with the Legal team


  • 3+ years experience in corporate development, investment banking, private equity, or venture investing in technology sectors
  • Experience identifying, developing, analyzing, and successfully executing M&A transactions
  • Strong financial modeling proficiency
  • End-to-end transaction negotiation experience
  • Bachelor’s degree required, MBA from a top tier school preferred
  • Strong interpersonal skills and ability to gain the respect of senior management and external executives, along with the respect of, and ability to collaborate with, internal teammates
  • Demonstrated ability to think strategically and creatively while applying sound business judgment and quantitative analytics
  • Ability to build and maintain a network of relationships that facilitate deal flow
  • Self-starter who can excel in a fast-paced and fluid environment
  • Excellent oral and written skills to communicate complex issues and influence others internally and externally
  • Experience aligning and driving cross-functional groups
