Agreement between The Swatch Group Ltd. and SMARTRAC N.V.

Dear Member of the Press,

we would like to inform you that the SMARTRAC N.V., Amsterdam, The
Netherlands has signed a contract regarding the acquisition of 75% of
SOKYMAT AUTOMOTIVE GmbH, a prior company of The Swatch Group Ltd.
Mr. Manfred Rietzler, Chief Technical Officer of SMARTRAC, has purchased the
remaining 25% of the shares of SOKYMAT AUTOMOTIVE GmbH from Swatch Group for
the same terms and conditions as SMARTRAC on a pro rata basis. The
acquisition is subject to standard closing conditions.

Mr. Markus Spreng will continue to head operations of SOKYMAT AUTOMOTIVE
GmbH in Reichshof-Wehnrath as CEO.
