Ascom - Annual General Meeting approves all proposals and expands Board of Directors
The Annual General Meeting of Ascom Holding held in Berne on 19 April, 2005, was attended by 270 shareholders representing 13,319,228 votes or around 37 percent of the share capital.
The Annual General Meeting adopted all proposals by the Board of Directors and discharged the Board of its responsibilities.
The shareholders of Ascom Holding agreed to expand the Board of Directors and appointed Dr J. T. Bergqvist, Dr Rolf A. Meyer and Dr Axel Paeger as new members of the Ascom Board of Directors.
Dr Wolfgang Kalsbach and Paul E. Otth were re-elected to the Board for an additional three-year term.
Peter Schöpfer, a member of the Board of Directors of Ascom Holding Ltd, retired from office at this year's Annual General Meeting in order to devote more attention to his professional duties in Brazil.
The shareholders of Ascom Holding agreed to expand the Board of Directors and appointed Dr J. T. Bergqvist, Dr Rolf A. Meyer and Dr Axel Paeger as new members of the Ascom Board of Directors.
Dr Wolfgang Kalsbach and Paul E. Otth were re-elected to the Board for an additional three-year term.

The Ascom Board of Directors now comprises:
* Juhani Anttila (51), Chairman of the Board of the Directors of Ascom Holding Ltd, member of the Ascom Board since 2001.* Paul E. Otth (62), Vice Chairman and Business Consultant, member of the Ascom Board since 2002.
* Dr J. T. Bergqvist (48), former member of the Group Executive Board of Nokia Corporation (new).
* Dr Wolfgang Kalsbach (51), CEO of Micronas Semiconductor Holding AG, member of the Ascom Board since 2002.
* Dr Rolf A. Meyer (62), member of the Board of Directors of UBS and DKSH (new).
* Beat Näf (40), CEO of the Müller-Möhl Group, member of the Ascom Board since 2003.
* Dr Axel Paeger (40), CEO of Ameos Holding AG (new).
Regarding the further development Juhani Anttila informed the shareholders that profitable growth of the enterprise will be the heavyweight of the coming years. He announced further information regarding the divestments for the current quarter.
The dividend of 5 percent proposed by the Board of Directors was approved and will be paid out to shareholders on 22 April, 2005.
