Passport is seeking a General Counsel to join our senior leadership team and help lead all legal functions for the company. This individual should have a wide breadth of knowledge and understanding of applicable laws and regulations and must be business-minded, able to calibrate risk to support innovation while appropriately protecting the company, and make sound legal decisions based on data. Our top candidate will be someone who has previously demonstrated expertise in a legal leadership role, is a strong communicator across the organization, and has built and led a talented team.
Responsibilities:
Advising the senior leadership team and business units on a variety of matters such as governance, legal compliance, third-party partnerships, commercial contract negotiations, government procurement, privacy matters, payments regulations, and general legal guidance on matters relevant to the company operations
Lead all legal aspects of commercial contracts and technology transactions with third party partners, customers, suppliers and vendors; privacy and data security matters; labor and employment and litigation matters; legal operations; intellectual property; mergers and acquisitions; joint ventures and other strategic partnerships and investments
Provide legal advice in connection with new product development and market expansion, both domestically and internationally
Oversee, lead and mentor the legal team
Oversee the company’s IP portfolio and provide guidance on privacy, trade secret, copyright and patent matters
Managing the company's outside counsel relationships
Maintaining knowledge of the company’s operations and legal documents.
Qualifications:
7+ years of experience in a lead counsel role
Strong academic credentials and J.D. from a nationally recognized and accredited law school
Active member in good standing of at least one state bar, preferably North Carolina
Strong drafting, negotiation and communication skills
Experience in building, managing and mentoring a legal team
Proficient legal experience in company valuations, venture capital financing, and M&A activities
Experience with corporate governance issues and corporate secretarial duties
Familiarity with data privacy laws and regulations, including data collection, use and transfer laws on a global scale
Excellent business judgment and critical thinking and ability to balance business needs with legal risk
Experience and comfort working with senior business management in connection with a broad range of corporate legal matters
Flexibility and willingness to quickly develop comfort with and offer advice on new or unfamiliar legal issues
Possess a high degree of business savvy, integrity, candor, intellectual curiosity, and self-motivation
Ability to provide sound guidance while juggling multiple (and sometimes conflicting) priorities between departments and business units
In-house experience with a high-growth company preferred
Familiarity with international law in regards to global business expansion and privacy matters is a plus
